Terms & Conditions – Devzuno Technologies

Welcome to Devzuno Technologies (registered and operating from Sonbhadra, Uttar Pradesh, India; website: devzuno.com). These Terms & Conditions (“Terms”) outline the legal agreement between you (“Client”, “User”) and Devzuno Technologies (“Company”, “we”, “our”, “us”) for using our website and engaging our services, including web design, mobile app development, custom AI systems, and digital marketing (collectively, the “Services”).

By visiting our website or starting a project with us, you agree to these Terms. If you do not agree to these conditions, please do not use our website or hire us.


1. Our Services

We provide custom digital solutions and digital marketing services. Our offerings include:

  • Web Development: Custom website design, responsive frontend layouts, backend development, search engine optimization (SEO), lead capture forms, and technical support.
  • eCommerce Solutions: Custom UI/UX, online storefront creation, secure payment gateway integrations, and product management setups.
  • Mobile Apps & AI Automation: Native or cross-platform iOS and Android app development, custom machine learning workflows, and intelligent business process automation systems.

2. AI & Automation Disclaimer

Because we build custom artificial intelligence models and machine learning workflows, you agree that:

  • Nature of AI: AI-generated outputs are probabilistic and based on data patterns. Consequently, automated tools can sometimes generate incorrect data, code anomalies, or “hallucinations.”
  • Verification: You agree to review and verify all automated decisions, database outputs, and AI-generated content with human oversight before using them in live business operations.
  • Liability Limit: Devzuno Technologies is not liable for any financial losses, database errors, or operational disruptions resulting from unverified AI decisions or automated tasks.

3. Collaboration & Client Responsibilities

We follow a structured delivery process:

  1. Discovery & Planning: We define your business goals and outline technical project specifications.
  2. Design & Engineering: Our team drafts user interfaces, writes code, and develops the system.
  3. Quality Testing & Launch: We test the application, deploy it to your server environment, and hand over access.

Your Role: Our speed depends on your feedback. You agree to provide branding assets, website copy, imagery, and server access (like cPanel, hosting, or Git logins) in a timely manner. Delays in providing these assets will extend the project timeline.


4. Payments, Billing, and Milestone Rules

  • Standard Plans: Payments for standard packages are made at checkout or as agreed during onboarding.
  • Milestone Billing: Custom projects are billed in stages (e.g., a setup deposit, a design approval payment, and a final launch payment).
  • Deposits are Non-Refundable: Once we begin design or development work, project deposits are non-refundable.
  • Overdue Invoices: If an invoice remains unpaid for more than 7 business days, we reserve the right to pause work on your project and suspend staging servers until the account is settled.

5. Intellectual Property (IP) Ownership

  • Transfer of Ownership: Once you pay all project invoices in full, you receive ownership of the custom code, custom designs, graphics, and content built specifically for your project.
  • Our Internal Library: We use our own background tools, pre-built code scripts, and developer libraries to build projects efficiently. Devzuno retains ownership of these tools, but we grant you a permanent, royalty-free license to use them in your delivered project.
  • Portfolio Rights: We reserve the right to showcase screenshots and links of your finished project in our portfolio unless we have signed a specific Non-Disclosure Agreement (NDA) with you.

6. Post-Launch Security

  • Asset Copyrights: You warrant that you own the copyrights or licenses for all text, images, and logos you provide us. We are not liable if you share copyrighted assets without permission.
  • Changing Credentials: For security, you must change all server, cPanel, and hosting passwords within 15 days of project hand-off. Once we deliver the project, we are not responsible for any server hacks or database breaches on your platforms.

7. Support & Maintenance Limits

Our projects include a standard support window as specified in your package or project proposal.

  • What is covered: Resolving bugs or server configuration issues in the code we built.
  • What is NOT covered: Developing new pages, building new features, or fixing issues caused by third-party plugin updates or code changes made by your internal team.

8. Third-Party Services and API Changes

To deliver your project, we may integrate third-party tools and APIs (such as payment gateways, SMS gateways, Maps, or OpenAI/Anthropic APIs).

  • No Control: We do not own or control these third-party platforms.
  • Service Changes: Devzuno is not liable if a third-party service changes its pricing, updates its API code (causing integrations to break), or shuts down its services after your project launch.

9. Disclaimer of Warranties

Devzuno Technologies provides all Services on an “AS IS” and “AS AVAILABLE” basis. Except as explicitly written in a service contract, we make no warranties, express or implied, regarding the services. We do not warrant that the website or app will run completely uninterrupted, or that it will guarantee specific sales conversions, organic traffic, or marketing results.


10. Project Inactivity & Cancellation

  • Termination for Breach: Either party may terminate a project agreement with 15 days of written notice if the other party breaches these Terms and fails to resolve the breach.
  • Client Inactivity Policy: We need active collaboration to finish projects. If you fail to provide feedback or assets, and remain unresponsive for more than 15 consecutive business days, we reserve the right to mark the project as “Suspended.” To resume a suspended project, a restart fee may apply.

11. Our Liability Limits

We write clean, tested code, but we cannot control third-party hosting providers or external server crashes. Devzuno Technologies is not liable for any indirect damages, lost profits, site downtime, or data loss.

Our total financial liability to you is strictly limited to the amount you paid us for the specific project.


12. Severability

If any court of law finds any provision of these Terms to be invalid or unenforceable, that specific part will be limited or removed. The rest of the Terms will remain in full force and effect.


13. Governing Law & Jurisdiction

These terms are governed by Indian law. If we run into a legal dispute we cannot resolve together, it will be settled exclusively in the courts of Sonbhadra, Uttar Pradesh, India.
